Dear Mr Jelasity,
Hódmezővásárhely Town of County Rank in the resolution 414/2006.

decided about issuing 694 pieces of securities named
Hódmezővásárhely I. Kötvény with a nominal value of CHF 100.000.
Without prejudice to our rights, in order to meet our payment
obligation resulting from this bond today we transferred the
relevant CHF amount detailed below to your account.
Notwithstanding the fact that Hódmezővásárhely has so far met and
will always meet its liabilities, I wish to make something clear
concerning our currently outstanding debt.
1. According to the valid contract we pay the principal of CHF
2.238.844, and the interest of CHF 1.178.199, 87, a total of CHF
3.417.043 CHF by December 31, 2011. Today we have transferred this
amount.
2. The fact that we have paid the amount in section 1., doesn't
mean that we ac-knowledge the full contents of our debt, because
compared to the exchange rate 173,41 CHF/HUF in 2006, the current
exchange rate is over 251 CHF/HUF. The fundament of our qualifying
declaration is our joint risk sharing as well as those legal
principles that prevail in the Hungarian law, which have to be
enforced in the economic sector and in money market relations as
well.
3. The rulings of Hungarian judicial practice have credibly
noted that in many cases, in these legal relations the most
important cardinal principles of Hun-garian Civil Law and
contractual law are not enforced, because the negotiating process is
not safeguarded. Therefore the equal rights of contracting parties
are violated, because the choice of the party in the debtor's
position is limited to which money market institution they can
conclude a contract with, however, they cannot have their voice
heard when it comes to the contents of the legal relation. The
principle of bona fide legal practice is not safeguarded, therefore
unjustified enrichment, and the lack of cooperation obligation and
the obliga-tion of mitigation of damages may emerge.
4. In the last couple of years we have often experienced a
practice from your side which has proven us that you do not give
priority to a responsible partner-ship with your clients. For the
sake of example we could recall the failure of the transaction
initiated in 2008, which our town and the bank pursued with the
intention to buy out our CHF bond by issuing a HUF based bond at an
ex-change rate, which was then 141-145 CHF/HUF. This would have
prevented the unwanted situation which is the cause of our current
excess debt. With this you have obviously caused serious damages not
only to us but to yourselves as well. This proves that ERSTE Bank
Magyarország is responsible for the situation that has evolved,
which substantiates that it has to bear the risk!
5. So as to pursue an expectable fair market behaviour and
traditional banking business ethics that prevail in the EU, may we
request the President CEO to declare within 30 days, by January 30,
2012 at the latest that in the spirit of joint risk sharing how much
will ERSTE Bank take over from the excess amount that is the cause
of the loss. If we don't get a definitive answer by the above date,
then, based on the contents of section 2., we shall do all the
nec-essary and possible steps in order to bear the losses jointly,
considering also the possibility of a legal procedure.
6. If there is no cooperation, we, as delegated representatives
of the Citizens of Hódmezővásárhely are obliged to represent our
causes on every fora, so we shall seek for the legislative help of
the Hungarian Parliament and the execu-tive help of the Hungarian
Government to supervise and eliminate this and similar banking
behaviour with efficient tools, and at the same time we shall resort
to organisations with European competence and jurisdiction.(folyt.)

In compliance with the above we wish to note that the Local
Government of Hódme-zővásárhely Town of County Rank pays the
instalment of Hódmezővásárhely I. Köt-vény due by December 31, 2011
as well as all the subsequent instalments with the legal
reservation, that the payment doesn't mean the full scale
acknowledgment of the claim. We lay a claim to the amount of the
difference of the CHF/HUF exchange rate on the due dates of
instalment payments and on the date of bond issuance in the
proportion of how the risk will be shared. If a legislative
environment will be set up that stipulates more favourable
conditions than the current ones, then our Local Gov-ernment lays
claim on the proportionate part of the excess amount that shall have
been paid by then above the level stipulated by the new regulation.
In line with the above and despite your conduct till now we are
ready to cooperate with you - as this is also your contractual
obligation.
